In 2003, NewAlliance was organized as a Delaware business corporation in
connection with the conversion of NewAlliance Bank (the ?Bank?), formerly New
Haven Savings Bank, from mutual to capital stock form, which became effective on
April 1, 2004. The Bank?s conversion resulted in the Company owning all of the
Bank?s outstanding capital stock. The Bank is now a wholly-owned subsidiary of
the Company, a bank holding company regulated by the Federal Reserve Board. On
April 1, 2004, the Bank changed its name to NewAlliance Bank. The Bank was
originally founded in 1838 as a Connecticut-chartered mutual savings bank and is
regulated by the State of Connecticut Department of Banking and the Federal
Deposit Insurance Corporation.
NewAlliance is the third largest banking institution headquartered in
Connecticut and the fourth largest based in New England with consolidated assets
of $8.21 billion and stockholders? equity of $1.41 billion at December 31, 2007. ...
