We were organized as a Maryland corporation on April 29, 2005. We are a blank
check company formed the purpose of acquiring one or more businesses with
operations primarily in India through a merger, capital stock exchange, asset
acquisition or other similar business combination or acquisition. To date, our
efforts have been limited to organizational activities, negotiating with
prospective companies and conducting due diligence on potential business
combination candidates. We are currently considered a shell company, and we will
remain a shell company until we engage in a business combination.
Our Initial Public Offering
On March 8, 2006, we sold 11,304,500 units in our initial public offering.
These 11,304,500 units include 9,830,000 units sold to the public and the
over-allotment option of 1,474,500 units exercised by the underwriters of the
