Flushing Financial Corporation (the ?Holding Company?) is a Delaware
corporation organized in May 1994 at the direction of Flushing Savings Bank, FSB
(the ?Bank?). The Bank was organized in 1929 as a New York State chartered
mutual savings bank. In 1994, the Bank converted to a federally chartered mutual
savings bank and changed its name from Flushing Savings Bank to Flushing Savings
Bank, FSB. The Bank converted from a federally chartered mutual savings bank to
a federally chartered stock savings bank on November 21, 1995, at which time the
Holding Company acquired all of the stock of the Bank. The primary business of
the Holding Company at this time is the operation of its wholly owned
subsidiary, the Bank. The Bank owns four subsidiaries: Flushing Commercial Bank,
Flushing Preferred Funding Corporation, Flushing Service Corporation, and FSB
Properties Inc. In November, 2006, the Bank launched an internet branch,
